ZEALTH24 User Terms and Conditions (Terms)

About ZEALTH24
Welcome to ZEALTH24 – a South African-based digital portal and marketplace (“Platform”) connecting Users who need fitness and wellness training or coaches with Users who offer those services. The end-to-end transaction is secure, and funds are held safely in escrow until a User approves payment to the Service Provider.
The ZEALTH24 Proprietary Limited platform is owned and managed by Feza Africa Engineering (Pty) Ltd (we/us/our), 1 Emerald Blvd, Johannesburg, South Africa.
The terms “User”, “Client”, “Service Provider”, “you/yours” and “they/them” are used interchangeably to refer to the Client or Service Provider in these Terms.
1. Your Use of the Platform and Agreement to these Terms
- These Terms are a legally binding agreement between you (User/Client/Service Provider) and ZEALTH24 regarding access to the Platform.
- By accessing the Platform, you agree to be bound by these Terms.
- These Terms remain valid throughout your legal relationship with us.
- Amendments: ZEALTH24 may update these Terms at any time. Updates are effective upon publication on the Platform. You are responsible for reviewing them regularly.
- If you disagree with the Terms or any Amendments, discontinue use immediately.
- Users under 18 must have parental consent. By using the Platform, you confirm such consent if applicable.
- All Users agree to follow Applicable Laws, not engage in unlawful or harmful activities, and maintain account security.
- Termination: Users may delete accounts if there are no pending requests/orders or fees. ZEALTH24 may also restrict or terminate accounts for breaches of Terms or in bad faith.
2. Definitions and Interpretation
- Applicable Laws: All national, provincial, local, and municipal legislation of South Africa.
- Client: User requesting Services on the Platform.
- Escrow: Secure holding of payments via Tradesafe until Service completion.
- ZEALTH24 / we / us / our: Feza Africa Engineering (Pty) Ltd, owner/operator of the Platform.
- Order: Acceptance of a Service quote and placement of an order.
- Platform: ZEALTH24 website, services, apps, and related channels.
- Platform Fees: Non-refundable fees charged for using the Platform.
- Project: Training or coaching session for which a User requires Services.
- Service Provider: User offering and performing services via the Platform.
- Services: Fitness, wellness, coaching, or related services.
- Tradesafe Payment Platform: Digital escrow service.
- User / you / your: User seeking or offering Services.
3. How ZEALTH24 Sessions Work
- ZEALTH24 connects Users and facilitates introductions but is not a party to the User-Service Provider agreement.
- Clients post requests or book Services; Service Providers submit quotes.
- Users communicate via messaging for clarification or additional information.
- Once an Order is placed, payment is made via Tradesafe escrow.
4. Fees, Payment and Refunds
- Payment is made via Tradesafe escrow and released to Service Providers after completion.
- Automatic Approval: If no dispute is raised within 1 hour, the payment is automatically approved and non-refundable.
- Service Providers may optionally assist with reschedules after approval.
- Platform Fees are non-refundable; payment is in South African Rand.
- Refunds depend on Service completion and Tradesafe T&Cs; abuse of the process may lead to account suspension.
5. Platform Fees
- Platform Fee charged to Users at checkout and commission to Service Providers on successful transactions.
- Fees may change, and subscriptions to premium tiers are optional and renewable automatically.
6. Nature of Relationship
- No employment relationship between ZEALTH24 and Service Providers.
- No partnership, agency, or authority to act on behalf of ZEALTH24 or other Users.
7. Warranties, Disclaimers & Verification
- ZEALTH24 provides the Platform and Services “as is” and does not guarantee accuracy, quality, or fitness for purpose of Services.
- ZEALTH24 does not verify Service Providers unless expressly stated.
- Users are responsible for due diligence, and ZEALTH24 provides no insurance coverage.
8. Service Provider Obligations and Client IP
- All user data is confidential and intellectual property remains with the User.
- Service Providers may use Client IP solely to fulfill Orders.
- Providers must comply with legal, professional, and ethical standards.
9. Intellectual Property
- Platform content and ZEALTH24 IP are proprietary.
- Users may use the Platform only for personal, non-commercial use under license.
- Third-party IP is subject to respective licensing terms.
10. Health, Fitness and Risk Disclaimer
- Platform does not provide medical advice.
- All Services are provided independently by Service Providers.
- Participation involves inherent risks; Users act at their own risk.
11. User-generated Content
- Users retain ownership of content, but grant ZEALTH24 a license to operate, improve, and promote the Platform.
- Content must not infringe third-party rights, and ZEALTH24 may moderate or remove unlawful content.
12. Dispute Resolution
- Users should raise disputes within 1 hour of the Service.
- ZEALTH24 may facilitate dispute resolution but is not liable for outcomes.
- Escalation to courts or arbitration is possible if resolution fails.
13. Limitation of Liability
- Liability is limited to Platform fees.
- Platform and Services are provided “as is”; ZEALTH24 is not responsible for User actions, quality, disputes, or losses.
- Users’ sole remedy is discontinuation of access.
15. Indemnities
- Users indemnify ZEALTH24 and its affiliates for claims arising from use of the Platform or breaches of Terms.
- This clause survives termination of Terms.
16. Governing Law and Dispute Resolution
- Terms governed by the laws of South Africa; courts of South Africa have jurisdiction.
- Disputes are to be negotiated, mediated, or decided by courts/arbitration as outlined.
- Electronic communications are valid and deemed received within 24 hours.
17. Privacy Policy
- ZEALTH24 complies with POPIA for collection and processing of user data.
- Data may be shared with payment providers, authorities, or Service Providers as required.
- Users can access, correct, or delete their data; ZEALTH24 does not sell user data.
18. Force Majeure
ZEALTH24 is not liable for failure to perform due to events beyond reasonable control, such as natural disasters, lockdowns, or other extraordinary events.
19. Severability
If any provision is invalid or unenforceable, remaining provisions remain in effect.
20. Waiver and Assignment
- No indulgence or leniency by ZEALTH24 constitutes a waiver.
- ZEALTH24 may assign its rights; Users may not assign without written consent.
